Trigon Metals Secures Land Leases In Namibia For Open Pit Expansion

TORONTO, ON – December 9, 2021 – Trigon Metals Inc. (TSX-V:TM) (“Trigon” or the “Company”) is pleased to announce that it has entered into a lease agreement with local Namibian company, Kombat Village Properties (Pty) Ltd (“KVP”), for the lease of land in and around the Kombat Mine area (“the Lease Transaction”). Trigon requires the use of land around the Kombat Mine for the continued development of its open pit mining operations, including the establishment of the mine’s tailings facility. Construction of the tailings facility began in September 2021, and work is on schedule to coincide with start-up of ore processing by the end of 2021.

The total to be paid by Trigon to KVP will be C$1,961,606 for a lease period of the duration of the mining licences held by Trigon. Payable in three (3) cash tranches as follows:

  • On commencement of the lease: C$250,000;
  • On January 17, 2022: C$830,803; and
  • On July 18, 2022: C$830,803.

KVP will further receive 200,000 stock options to acquire 200,000 shares in Trigon at an exercise price of $0.46. The options will vest immediately and will be exercisable for a period of three years from date of issue. The grant of the options is subject to the approval of the TSX Venture Exchange (“TSXV”).

In connection with the Lease Transaction, Trigon has agreed to transfer a 10% equity interest in Trigon’s wholly owned subsidiary, Gazania Investments Nine (Proprietary) Limited (“Gazania”), valued at C$50,000 to Texel Mining and Exploration (Proprietary) Limited (“Texel”). Gazania holds the Copper King Extension ground surrounding the Kombat Mine, 35km of mineralized strike length in the Otavi valley. The transfer of the equity interest of Gazania to Texel remains subject to the approval of the TSXV.

Knowledge Katti of Kombat Village Properties, commented, “The imminent onset of ore processing during December 2021 represents an important milestone in the revival of economic activity for Kombat and its inhabitants as well as an important contributor to reposition Namibia as a prime global mining destination. The current commitment of all stakeholders at all levels to make the project a success will ensure ongoing momentum and the ultimate successful implementation of the project.”

The Kombat Copper Project is the flagship project of Trigon Metals Inc., with the Company’s mining and prospecting licence areas covering an area of more than 7,500 ha in the Otavi Mountainlands in Namibia. The Kombat Project is comprised of three mining licences, which produced approximately 12.46 million tonnes of Copper between 1962 and 2008, at a grade of 2.62%. Trigon Metals Reports 8m of 6.56% Copper Extending Open Pit Mineralization, Namibia

TORONTO, ON – November 11, 2021 – Trigon Metals Inc. (TSXV:TM) (“Trigon” or the “Company”) is pleased to announce that recent drilling has unexpectedly intercepted high-grade mineralization that has the potential to increase both the resource tonnes and deposit grade.

Geotechnical drill testing of the rock conditions around the planned open pits was completed to confirm rock stability for mine design purposes. Core from these holes, outside of the currently designed pit shells, the core in the holes showed visible mineralization and were sent to be assayed.

Four of the geotechnical holes contained significant amounts of copper, representing the potential for an increase of tonnage, of grade and of the life of the open mine.

Highlights of the drill results are as follows:

  • Hole (GTBH010): 8m intersection of 6.56% Cu which includes 5m of 9.15% Cu @ (66-74m).
  • Hole (GTBH010): 3m intersection of 1.36% Cu @(89-92m).
  • Hole (GTBH004): 2m intersections of 1.2% Cu @(57-59m) and 1.4 % Cu @(75-77m).
  • Hole (GTBH013): 4m intersection of 1.72% Cu which includes 2m of 3.3% Cu @(57-61m).
  • Hole (BH21-09): 2m intersection of 1.27% Cu @(52-54m).

 

The holes were completed in September and confirmed the ground stability conditions, this data has been used in the design of our planned open pits. Assays for the holes with visible mineralization have just been received.

Trigon Reports 13 Metre Trench Grading 2.7% Copper And 34.5 G/T Silver At Silver Hill In Morocco

TORONTO, February 24, 2021 – Trigon Metals Inc. (TSX-V: TM) (“Trigon” or the “Company”) announced today trench assay results from the Company’s exploration program campaign at the Company’s 100% owned Silver Hill Project (“Silver Hill” or the “Project”) in Morocco.

A trench has been completed on fresh rock below the saprolite. Continuous samples were collected horizontally along the wall of the trench returning 13 metres of 2.7% copper, 34.5 g/t silver and 82 ppm cobalt. The trench exposed an area of intense sub-vertical hydrothermal alteration, giving geologists a unique look at the nature of the mineralization. The trench is located 1.5km away from the S1 discovery hole, in an area first identified by surface grab sample, J10 reported 6.8% copper and 116 g/t silver (see press release October 5, 2020). The zone was tested successfully with drill hole S9, 31 metres of 0.7% copper from 37 to 68 metres depth down the hole. Given the much higher grades in the trench, it now appears the original hole may not have penetrated the heart of the structure.

The trench exposed some old mining works where the richest silver mineralization appears to have been previously mined out. Given the limitations of ancient mining techniques, it is our view that the core of the structure at depth has not yet been investigated. Samples E14 and E15 are taken from the opposing wall of the trench avoiding the muddy fill from the mined-out area. Evidence around the site continues to point to silver being the focus of the ancient miners, suggesting the mined-out material may have been a high grade silver vein. Company geologists plan to target deeper in the structure where the vein may remain untouched, out of reach of ancient mining technology.

The trench was 30m in total length ramping down to the target area and samples were taken some 5 metres below the surface level. It was all free digging material, completed with a diesel hydraulic shovel, at a width of 3.8 metres. A rock breaker was used for the final 1.5 metres.

This early result supports our excitement about the project and about the prospectivity of Morocco, along with Namibia, our other preferred jurisdiction for developing significant new copper projects.”

Trigon Metals Announces Private Placement Financing

TORONTO, Aug. 28, 2019 – Trigon Metals Inc. (TM.V) (“Trigon” or the “Company”) intends to complete a non-brokered private placement financing of up to 15,000,000 units (the “Units”) at a price of $0.10 per Unit for gross proceeds of up to $1,500,000 (the “Offering”).  Each Unit will be comprised of one common share of Trigon (a “Share”) and one-half of one common share purchase warrant (each whole warrant, a “Warrant”).  Each Warrant will entitle the holder thereof to acquire one Share at a price of $0.15 for a period of 24 months following the closing date of the Offering, subject to an acceleration provision whereby in the event that at any time after the expiry of the statutory hold period, the Shares trade at $0.25 or higher on the TSX Venture Exchange for a period of 30 consecutive days, the Company shall have the right to accelerate the expiry date of the Warrants to the date that is 30 days after the Company issues a news release announcing that it has elected to exercise the acceleration right.

Closing of the Offering is expected to occur on or about September 13, 2019 and remains subject to a number of conditions, including receipt of all necessary regulatory approvals, including the approval of the TSX Venture Exchange. In connection with the Offering, a finder’s fee may be payable in line with the policies of the TSX Venture Exchange.  All securities issued in connection with the Offering will be subject to a statutory hold period of four-months and one-day.

TRIGON CLOSES PRIVATE PLACEMENT FINANCING AND ANNOUNCES STRATEGIC INVESTMENT AND VARIOUS CORPORATE UPDATES

Toronto, Canada – March 28, 2019 – Trigon Metals Inc. (TSX-V: TM) (“Trigon” or the “Company”) has closed its previously announced non-brokered private placement financing (the “Offering”). The Company issued 15,200,414 common shares (the “Shares”) at a price of $0.10 per Share for gross proceeds of $1,520,041.

The Company intends to use the net proceeds from the Offering to advance its project finance transaction with Shandong Xinhai Mining Technology & Equipment Inc. and other interested parties, property maintenance and security for the Kombat Project, and for general corporate purposes.

Closing of the Offering remains subject to the final approval of the TSX Venture Exchange. The Shares issued pursuant to the Offering will be subject to a four month and one day statutory hold period expiring on July 29, 2019. The Company did not pay any finder’s fees in connection with the Offering.

Certain directors and officers of the Company have subscribed for Shares pursuant to the Offering (the “Insider Participation”). The Insider Participation will be considered to be a “related party transaction” as defined under Multilateral Instrument 61-101 (“MI 61-101”). The Insider Participation is exempt from the formal valuation and minority shareholder approval requirements of MI 61-101.

Cost Cutting Initiatives

Management of Trigon is currently focused on ensuring the majority of the capital is used to advance the development of the Kombat Project. Monthly corporate overhead expenses have been reduced by approximately $60,000, in ways that should not impact our ability to advance the project on the ground.

Closing of the Offering introduces Silvercorp Metals Inc. (“Silvercorp”) as a strategic investor into Trigon.

He has served on the boards of Falco Resources, Balmoral Resources, Americas Petrogas, Rockgate Capital, and Xiana Mining. Mr. Neal graduated from Dalhousie University with a B.Sc. in Biochemistry. He has also served as a member of the Dalhousie University Senate and Board of Governors.

Trigon Metals Announces Private Placement and Appointment of Jed Richardson as CEO

TORONTO, March 18, 2019 – Trigon Metals Inc. (TSX-V: TM) (“Trigon” or the “Company”) intends to complete a non-brokered private placement financing of up to 17,500,000 common shares (the “Shares”) at a price of $0.10 per Share for gross proceeds of up to $1,750,000 (the “Offering”).

Closing of the Offering is expected to occur on or about March 29, 2019 and remains subject to customary closing conditions, including the approval of the TSX Venture Exchange.   The Shares issued pursuant to the Offering will be subject to a hold period of four months and one day.

The Company intends to use the net proceeds from the Offering to advance its project finance transaction with Shandong Xinhai Mining Technology & Equipment Inc. and other interested parties, property maintenance and security for the Kombat project, and for general corporate purposes.

The Company also announces the appointment of Jed Richardson as Chief Executive Officer of the Company, effective immediately.
